This Customer Terms of Service governs your use of the Aquin platform and related services.
This Customer Terms of Service is entered into by and between Aquin Labs ("Aquin", "we", "us", or "our") and the entity or person accessing any Services ("Customer", "User", or "you"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" reference your company.
This Agreement sets forth the terms and conditions under which Aquin provides its web-based LLM training platform, including dataset management, model training, and model download capabilities.
The "Effective Date" of this Agreement is the earlier of (a) Customer's initial access to the Services or (b) Customer's acceptance of this Agreement.
BY ACCESSING OR USING ANY SERVICES, YOU ARE AGREEING TO BE BOUND BY ALL TERMS IN THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT USE ANY OF OUR SERVICES.
1. definitions
"Agreement" means this Customer Terms of Service and any referenced policies or documents.
"Aquin Materials" means all software, infrastructure, documentation, systems, and other content provided by Aquin in connection with the Services, excluding Customer Data.
"Customer Data" means any data that you upload or otherwise make available through Aquin, including training datasets, files, and text inputs.
"Documentation" means Aquin's user guides and support documentation available at aquin.app.
"Services" means the Aquin web-based platform, including dataset upload and management, model selection from Hugging Face, LLM training (SFT, LoRA, QLoRA), trained model storage, and model download capabilities.
"Training Data" means datasets and other data you upload and use to fine-tune or train LLM models through the Services.
"Trained Model" means the model weights produced as output from a training job you run through the Services.
"Training Job" means a single instance of model training initiated by you through the platform, executed on Aquin's cloud GPU infrastructure.
2. the services
2.1 License Grant
Subject to this Agreement, Aquin grants you a limited, non-exclusive, non-transferable right to access and use the Aquin platform for your personal or internal business purposes during the term of this Agreement.
2.2 Service Features
The Services include:
- Dataset upload and management
- Base model selection from Hugging Face
- Cloud-based LLM training using SFT, LoRA, and QLoRA
- Training job monitoring and logs
- Trained model storage and download
- Usage-based compute credit management
2.3 How Training Works
Each Training Job runs in a dedicated, isolated GPU instance on Google Cloud Platform. Your dataset is retrieved from encrypted storage, training is executed within the isolated environment, and the resulting model weights are saved back to your secure storage (Cloudflare R2). The GPU instance self-terminates upon job completion. Your data is never shared with or accessible to other users.
2.4 Ownership
Aquin retains all rights, title, and interest in the Services, platform infrastructure, and Aquin Materials. You retain full ownership of your Customer Data, Training Data, and Trained Models. Aquin claims no ownership over any data you upload or any models you produce through the Services.
2.5 Third-Party Models and Services
The Services allow you to select base models from Hugging Face for use in your training jobs. You acknowledge that:
- Base models are subject to their own licenses and terms of use from Hugging Face and the respective model authors
- Aquin does not own or control third-party base models
- You are responsible for ensuring your use of any base model complies with its license
- Aquin makes no warranties about third-party model performance, safety, or fitness for purpose
3. customer data and privacy
3.1 Data Ownership
You retain all rights, title, and interest in your Customer Data, Training Data, and Trained Models. You are solely responsible for the accuracy, quality, legality, and appropriateness of all data you upload to the Services.
3.2 Data Storage and Processing
Your datasets and Trained Models are stored in encrypted cloud storage (Cloudflare R2) under your account. Training Jobs are executed on isolated GCP GPU instances that self-terminate upon completion. Your data is encrypted in transit and at rest, and is never accessible to other users of the platform.
You may download your Trained Models and datasets at any time, and delete them from our storage at any time from your dashboard.
3.3 Data Usage Authorization
You grant Aquin the right to use Customer Data solely to:
- Execute and deliver your Training Jobs
- Store your datasets and Trained Models on your behalf
- Provide technical support when requested
- Comply with legal obligations
Important: We do not use your Training Data, datasets, or Trained Models for any purpose other than executing your jobs. We do not use your data to improve Aquin's platform in any way that involves accessing your specific content, and we never share your data with third parties except as required by our infrastructure providers (GCP, Cloudflare R2) solely for the purpose of executing your Training Jobs.
3.4 Data Security
Aquin implements industry-standard security measures including TLS encryption for data in transit and AES-256 encryption for data at rest. Training Jobs run in isolated compute environments with no cross-user data access. For full details on our security practices, please review our Privacy Policy.
4. restrictions and responsibilities
4.1 Prohibited Uses
You shall not use the Services to:
- Train models intended to generate harmful, illegal, abusive, or deceptive content
- Train models on data you do not have the rights to use
- Violate the license terms of any base model downloaded through the Services
- Violate any intellectual property rights of third parties
- Upload malware, viruses, or other malicious content
- Attempt to gain unauthorized access to other users' data or the platform infrastructure
- Resell, sublicense, or redistribute access to the Services
- Reverse engineer or attempt to extract Aquin's proprietary systems or infrastructure
- Violate any applicable laws or regulations, including data protection and export control laws
4.2 Acceptable Use and Safety
Aquin is committed to responsible AI development. You agree to use the platform only for lawful purposes and in ways that do not endanger others. Aquin reserves the right to suspend or terminate accounts that violate these terms or our Acceptable Use Policy, and to terminate Training Jobs that appear to be in violation without prior notice. 4.3 Your Responsibilities
- Maintain accurate account information
- Protect your account credentials and keep them confidential
- Ensure you have the legal right to use all data you upload for training
- Comply with the license terms of any base model you select from Hugging Face
- Review and validate Trained Model outputs before deploying them in any product or service
- Ensure your use of Trained Models complies with applicable AI and data protection regulations
- Maintain appropriate backups of your training data and Trained Models independently
4.4 Model Training and Outputs
You acknowledge that:
- Training results may vary and are not guaranteed
- Trained Models may generate inaccurate, biased, or inappropriate outputs
- You are solely responsible for validating, monitoring, and governing the use of your Trained Models
- Aquin makes no warranties about the performance, accuracy, or safety of Trained Models
- You should not rely solely on Trained Model outputs for critical, high-stakes, or legally consequential decisions
5. billing and payments
5.1 Usage-Based Pricing
Aquin operates on a usage-based pricing model. You are charged based on GPU compute time consumed by your Training Jobs. Pricing details are available on our pricing page at aquin.app. New accounts receive free credits to get started.
5.2 Payment Processing
All payments are processed by Dodo Payments. Aquin does not collect or store your payment credentials. By making a purchase, you agree to Dodo Payments' terms and privacy policy. All charges are non-refundable except where required by applicable law or at Aquin's sole discretion.
5.3 Credit Expiry and Suspension
Aquin reserves the right to suspend Training Jobs or platform access if your credit balance reaches zero. Credits do not expire while your account is active. Aquin reserves the right to modify pricing with reasonable prior notice.
6. warranties and disclaimers
6.1 Limited Warranty
Each party warrants that it has the full authority to enter into this Agreement.
6.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AQUIN DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTIES ABOUT TRAINING JOB OUTCOMES, BASE MODEL PERFORMANCE, OR TRAINED MODEL OUTPUTS.
7. term and termination
7.1 Term
This Agreement begins when you first access the Services and continues until terminated by either party.
7.2 Termination
Either party may terminate this Agreement for material breach with 30 days' written notice and opportunity to cure. Aquin may immediately suspend or terminate access for violations of Section 4 without prior notice.
7.3 Effect of Termination
Upon termination, your access to the Services ends immediately. You will have 30 days from termination to download your Trained Models and datasets before they are permanently deleted from our systems. It is your responsibility to download any data you wish to retain prior to account closure.
8. limitation of liability
EXCEPT FOR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AQUIN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AQUIN IN THE THREE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
9. indemnification
9.1 Your Indemnification
You will defend, indemnify, and hold harmless Aquin and its officers, directors, and employees against any claims, damages, losses, and costs (including reasonable legal fees) arising from: your breach of this Agreement; your misuse of the Services; the content or legality of your Customer Data or Training Data; your Trained Models and their outputs; or your violation of third-party rights including applicable model licenses.
10. general provisions
10.1 Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-platform notice. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
10.2 Governing Law
This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising from this Agreement shall be resolved through good-faith negotiation between the parties prior to pursuing formal legal remedies.
10.3 Entire Agreement
This Agreement, together with our Privacy Policy and Acceptable Use Policy, constitutes the entire agreement between you and Aquin regarding the Services and supersedes any prior agreements or understandings.
