This Customer Terms of Service governs your use of Aquin and related services.
This Customer Terms of Service is entered into by and between Aquin ("Aquin", "we", "us", or "our") and the entity or person accessing any Services ("Customer", "User", or "you"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" reference your company.
This Agreement permits Customer to download, install, and use Aquin software and related services pursuant to the terms set forth herein and sets forth the basic terms and conditions under which those products and services will be delivered.
The "Effective Date" of this Agreement is the earlier of (a) Customer's initial download or access to the Services or (b) Customer's acceptance of this Agreement.
BY DOWNLOADING, INSTALLING, OR USING ANY SERVICES, YOU ARE AGREEING TO BE BOUND BY ALL TERMS IN THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT USE ANY OF OUR SERVICES.
1. definitions
"Agreement" means this Customer Terms of Service and any referenced policies or documents.
"Aquin Materials" means all software, documentation, systems, and other content provided by Aquin in connection with the Services, excluding Customer Data.
"Customer Data" means any data that you input, upload, or otherwise make available through Aquin, including training datasets, model configurations, floating assistant logs, files, and text inputs.
"Documentation" means Aquin's user guides and support documentation available at aquin.app.
"Local Processing" means data processing that occurs entirely on your device without transmission to external servers.
"Services" means Aquin software, including all features such as LLM training, model browsing from Hugging Face, floating assistant, RAG systems, memory layers, and third-party LLM integrations.
"Software" means the downloadable Aquin application for Windows and other supported platforms.
"Training Data" means datasets, logs, and other data used to train or fine-tune LLM models through the Services.
2. the services
2.1 License Grant
Subject to this Agreement, Aquin grants you a limited, non-exclusive, non-transferable license to download, install, and use the Aquin software on your devices for your personal or internal business purposes during the term of this Agreement.
2.2 Service Features
The Services include:
- A floating, moveable AI assistant interface that works across all applications
- Browse and download AI models from Hugging Face
- Local LLM training and fine-tuning capabilities
- Floating assistant conversation logging for training data
- Data formatting tools for various training types
- RAG (Retrieval-Augmented Generation) system implementation
- Memory layer functionality for third-party LLMs
- Integration with third-party LLM providers including Anthropic (Claude)
- Model configuration and parameter management
- Local model storage and deployment
2.3 Privacy-First Design
All your training data, model configurations, floating assistant logs, RAG system data, memory layers, and conversations are stored locally on your device and never transmitted to Aquin's servers. Third-party LLM integrations are optional and data is sent directly from your device to those providers when used.
2.4 Ownership
Aquin retains all rights, title, and interest in the Services, Software, and Aquin Materials. You retain ownership of your Customer Data, Training Data, trained models, and all content created through the Services, subject to the limited rights granted to Aquin as set forth in Section 3.
2.5 Third-Party Services and Models
The Services allow you to browse, download, and use AI models from Hugging Face, and connect to third-party LLM providers. You acknowledge that:
- Downloaded models are subject to their own licenses and terms of use
- Aquin does not own or control third-party models or services
- You are responsible for ensuring your use complies with model licenses and provider terms
- Aquin makes no warranties about third-party model performance, safety, or legality
- When using third-party LLMs, data is sent directly from your device to those providers
- Third-party services are subject to their own privacy policies and terms
3. customer data and privacy
3.1 Data Ownership
You retain all rights, title, and interest in your Customer Data, Training Data, trained models, and all outputs generated through the Services. You are solely responsible for the accuracy, quality, legality, and appropriateness of all data you provide to the Services.
3.2 Local and Cloud Processing
Local Processing: When you train models locally or use local features:
- All training data stays on your device
- Models are trained and stored locally
- Floating assistant logs remain on your device
- RAG system data and embeddings are stored locally
- Memory layers are maintained locally
- Complete privacy and offline functionality
- No data transmission to Aquin or third parties
Third-Party LLM Integration: When you use third-party LLM services:
- Data is sent directly from your device to the LLM provider
- Memory layer context may be included in queries
- Subject to third-party privacy policies and terms
- Aquin does not intercept or store this data
3.3 Data Usage Authorization
You grant Aquin the right to use Customer Data solely to:
- Provide and maintain the Services
- Facilitate local training and model management
- Enable connections to third-party services you choose
- Provide technical support when requested
- Comply with legal obligations
Important: We do not use your Training Data, floating assistant logs, or any Customer Data to train Aquin's systems or share with third parties. All data processing occurs locally on your device unless you explicitly choose to use third-party LLM services.
3.4 Data Security
Since your training data, models, and conversations are stored locally on your device, you maintain full control over data security. When using third-party services, data transmission is encrypted, but security is also subject to those providers' practices.
4. restrictions and responsibilities
4.1 Prohibited Uses
You shall not:
- Modify, reverse engineer, or create derivative works of the Software
- Distribute, resell, or sublicense the Services
- Use the Services for illegal, harmful, or malicious purposes
- Train models on data you do not have rights to use
- Use trained models to violate others' intellectual property rights
- Upload malware, viruses, or other harmful content
- Violate any applicable laws or regulations
- Use the Services to create models that generate illegal or harmful content
- Violate license terms of third-party models downloaded through the Services
4.2 Your Responsibilities
- Maintain accurate account information
- Protect your account credentials
- Ensure lawful use of the Services and trained models
- Verify you have rights to use all training data
- Comply with license terms of any third-party models you download
- Ensure compliance with applicable AI and data protection regulations
- Review and validate outputs from trained models before use
- Maintain appropriate backups of your training data and models
4.3 Model Training and Outputs
You acknowledge that:
- Model training results may vary and are not guaranteed
- Trained models may generate inaccurate or inappropriate content
- You are solely responsible for validating and monitoring model outputs
- Aquin makes no warranties about the performance or accuracy of trained models
- You should not rely solely on model outputs for critical decisions
5. warranties and disclaimers
5.1 Limited Warranty
Each party warrants that it has the authority to enter into this Agreement.
5.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AQUIN DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTIES ABOUT MODEL TRAINING RESULTS, THIRD-PARTY MODELS, OR THEIR OUTPUTS.
6. term and termination
6.1 Term
This Agreement begins when you first use the Services and continues until terminated.
6.2 Termination
Either party may terminate this Agreement for material breach with 30 days' notice to cure. Aquin may immediately terminate for violations of Section 4.
6.3 Effect of Termination
Upon termination, your license to use the Services ends immediately. All your training data, trained models, configurations, and local data remain on your device under your control.
7. limitation of liability
EXCEPT FOR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. AQUIN'S TOTAL LIABILITY SHALL NOT EXCEED $100.
8. indemnification
8.1 Your Indemnification
You will indemnify Aquin against claims arising from your breach of this Agreement, misuse of the Services, your Customer Data, Training Data, trained models, or violation of third-party rights including model licenses.
9. general provisions
9.1 Changes to Terms
We may update these Terms with notice. Continued use after changes constitutes acceptance.
