This Customer Terms of Service governs your use of Aquin Lucid and related services.

This Customer Terms of Service is entered into by and between Aquin (“Aquin”, “we”, “us”, or “our”) and the entity or person accessing any Services (“Customer”, “User”, or “you”). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to “you” or “Customer” reference your company.

This Agreement permits Customer to download, install, and use Aquin Lucid software and related services pursuant to the terms set forth herein and sets forth the basic terms and conditions under which those products and services will be delivered.

The “Effective Date” of this Agreement is the earlier of (a) Customer’s initial download or access to the Services or (b) Customer’s acceptance of this Agreement.

IMPORTANT NOTICES:

If you subscribe to Pro Services ($20/month), your subscription will automatically renew unless you cancel in accordance with Section 8 below.
Section 11.9 contains an arbitration agreement requiring most disputes to be resolved through binding arbitration instead of in court.

BY DOWNLOADING, INSTALLING, OR USING ANY SERVICES, YOU ARE AGREEING TO BE BOUND BY ALL TERMS IN THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT USE ANY OF OUR SERVICES.

1. Definitions

“Agreement” means this Customer Terms of Service and any referenced policies or documents.

“Aquin Materials” means all software, documentation, systems, and other content provided by Aquin in connection with the Services, excluding Customer Data.

“Customer Data” means any data that you input, upload, or otherwise make available through Aquin Lucid, including files, screenshots, voice recordings, browser tab content, and text inputs.

“Documentation” means Aquin’s user guides and support documentation available at aquin.app.

“Free Services” means the Starter plan services that Aquin makes available at no charge, including limited messages with advanced AI models and basic features.

“Local Processing” means data processing that occurs entirely on your device without transmission to external servers.

“Pro Services” means the paid subscription services ($20/month) that include unlimited messages with advanced AI models and enhanced features.

“Services” means Aquin Lucid software, including all features such as local AI processing, file access, voice capabilities, browser integration, and custom commands.

“Software” means the downloadable Aquin Lucid application for Windows and other supported platforms.

2. The Services

2.1 License Grant

Subject to this Agreement, Aquin grants you a limited, non-exclusive, non-transferable license to download, install, and use the Aquin Lucid software on your devices for your personal or internal business purposes during the term of this Agreement.

2.2 Service Features

The Services include:

A floating, moveable AI interface that works across all applications
Local AI model processing for complete privacy and offline functionality
Cloud-based AI models (Claude Sonnet 4 and others) for advanced capabilities
File upload and analysis capabilities for any file type
Screenshot capture and analysis
Browser tab content integration
Voice input and text-to-speech output
Custom commands for apps, files, and code execution
Chart and mindmap generation
Customizable shortcuts and interface positioning

2.3 Privacy-First Design

When using local AI models, all your data processing occurs on your device and never leaves your computer. This includes your files, screenshots, voice input, and conversations. Cloud-based features are optional and clearly indicated when used.

2.4 Ownership

Aquin retains all rights, title, and interest in the Services, Software, and Aquin Materials. You retain ownership of your Customer Data, subject to the limited rights granted to Aquin as set forth in Section 3.

2.5 Free Services

Free Services are provided subject to usage limits as described in our Documentation. Aquin may modify or terminate Free Services at any time with or without notice. Free Services are provided “AS IS” without warranty, and Aquin’s liability for Free Services is limited.

3. Customer Data and Privacy

3.1 Data Ownership

You retain all rights, title, and interest in your Customer Data. You are solely responsible for the accuracy, quality, legality, and appropriateness of all Customer Data you provide to the Services.

3.2 Local and Cloud Processing

Local Processing

When you use local AI models:

Data never leaves your device
Complete privacy and offline functionality
No data transmission to Aquin or third parties
You maintain full control over your information

Cloud Processing

When you use cloud AI models:

Data is sent to AI service providers
Encrypted transmission and storage
Subject to third-party privacy policies
Enhanced AI capabilities and features

3.3 Data Usage Authorization

You grant Aquin the right to use Customer Data solely to:

Provide and maintain the Services
Process your requests through local or cloud AI models
Improve service performance and functionality
Provide technical support when requested
Comply with legal obligations

Important: For Pro Services, we do not use your Customer Data to train AI models unless you explicitly consent. For Free Services, anonymized usage data may be used for service improvement.

3.4 Data Security

Aquin implements reasonable security measures to protect Customer Data during cloud processing. However, local processing provides the highest level of security by keeping data entirely on your device.

4. Restrictions and Responsibilities

4.1 Prohibited Uses

You shall not:

Modify, reverse engineer, or create derivative works of the Software
Distribute, resell, or sublicense the Services
Use the Services for illegal, harmful, or malicious purposes
Attempt to circumvent usage limits or security measures
Access competitor products through our Services
Upload malware, viruses, or other harmful content
Violate any applicable laws or regulations
Use the Services to infringe on others’ intellectual property rights

4.2 Your Responsibilities

Maintain accurate account information
Protect your account credentials
Ensure lawful use of the Services
Respect others’ privacy and rights when capturing screenshots or accessing files
Comply with your organization’s policies when using the Services for business purposes

4.3 AI-Generated Content

The Services may generate text, code, analyses, and other content using AI models. You acknowledge that:

AI-generated content may be inaccurate or inappropriate
You are solely responsible for reviewing and validating all outputs
Aquin makes no warranties about the accuracy of AI-generated content
You should not rely solely on AI outputs for critical decisions

5. Fees and Payment Terms

5.1 Subscription Plans

Free Starter Plan

• Limited messages with advanced models
• Limited number of chats
• Limited context uploads
• Limited custom commands
• Unlimited local AI usage

Pro Plan - $20/month

• Unlimited messages with advanced models
• Unlimited number of chats
• Unlimited context uploads
• Unlimited custom commands

5.2 Payment Terms

Pro subscription fees are billed monthly in advance. All fees are non-refundable except as required by law. You authorize us to charge your payment method for recurring subscription fees.

6. Warranties and Disclaimers

6.1 Limited Warranty

Each party warrants that it has the authority to enter into this Agreement.

6.2 Disclaimer

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. AQUIN DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

7. Term and Termination

7.1 Term

This Agreement begins when you first use the Services and continues until terminated. Pro subscriptions automatically renew monthly unless cancelled with 30 days’ notice.

7.2 Termination

Either party may terminate this Agreement for material breach with 30 days’ notice to cure. Aquin may immediately terminate for violations of Section 4.

7.3 Effect of Termination

Upon termination, your license to use the Services ends immediately. Local data remains on your device under your control. Cloud-stored data may be deleted after a reasonable grace period.

8. Limitation of Liability

EXCEPT FOR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. AQUIN’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 FOR FREE SERVICES.

9. Indemnification

9.1 Your Indemnification

You will indemnify Aquin against claims arising from your breach of this Agreement, misuse of the Services, or your Customer Data.

10. General Provisions

10.1 Changes to Terms

We may update these Terms with notice. Continued use after changes constitutes acceptance. If you object to changes during your subscription term, you may terminate before the next renewal.
